Affiliate Program Terms and Conditions .
These Affiliate Program Terms and Conditions are entered into by and between New Generation Tools, a Pune Jurisdiction, company (“New Generation Tools”), and the individual or entity (“Affiliate”) participating in the Company’s affiliate program. By participating in the Program, Affiliate agrees to comply with and be bound by these Terms.
1. Enrollment in the Program:
a. Affiliate must submit a completed application to join the Program.
b. Company reserves the right to accept or reject any application at its sole discretion.
2. Commissions:
a. Affiliate will earn commissions based on qualifying sales or actions as defined by the Program.
b. Commissions are subject to change at the Company’s discretion with notice to Affiliate.
3. Payment:
a. Commissions will be paid on a monthly basis.
b. Payments will be made via Bank transfer or upi to the Affiliate’s designated account.
c. Affiliate is responsible for providing accurate payment information.
4. Promotion:
a. Affiliate agrees to promote Company’s products or services in a manner consistent with the Company’s brand and values.
b. All promotional activities must comply with applicable laws and regulations.
5. Termination:
a. Either party may terminate the Affiliate relationship at any time, with or without cause, by providing written notice.
b. Company reserves the right to terminate the Affiliate relationship immediately for any violation of these Terms.
6. Intellectual Property:
a. Affiliate is granted a limited, non-exclusive, revocable license to use Company’s trademarks and promotional materials solely for the purpose of promoting Company’s products or services.
b. Affiliate agrees not to modify, reproduce, or distribute Company’s intellectual property without prior written consent.
7. Confidentiality:
a. Affiliate agrees to keep all non-public information received from Company confidential.
b. Confidential information includes, but is not limited to, commission rates, customer data, and marketing strategies.
8. Limitation of Liability:
a. Company will not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with the Program.
b. Affiliate’s sole remedy for dissatisfaction with the Program is termination of the affiliate relationship.
9. Governing Law:
a. These Terms shall be governed by and construed in accordance with the laws of Pune Jurisdiction.
b. Any disputes arising out of these Terms shall be resolved through arbitration in accordance with the rules of New Generation Tools.
10. Miscellaneous:
a. These Terms constitute the entire agreement between Company and Affiliate, superseding any prior agreements or understandings.
b. Company may update these Terms at its discretion, without notice to Affiliate.
By participating in the Program, Affiliate acknowledges and agrees to these Terms and represents that it has the authority to enter into this agreement on behalf of the entity or individual listed in the application.
